Purchase & Reservation Agreement
Effective Date: The date your payment or deposit is accepted
This Reservation Agreement ("Agreement") governs your purchase or reservation of a Narwhal Truck Topper that is not yet available for immediate delivery. By placing a Pre-Order or making a Reservation, you ("Customer") agree to these Terms.

1. Overview of Purchase and Reservation Options
Narwhal Truck Toppers Inc. ("we," "us," "our") offers two purchase options for upcoming product releases:
a. Purchase (Full Payment):
- Full payment is due at the time of order.
- Limited to applicable models that are available within our Production schedule for fulfillment
- Provides an early-production position within the launch schedule.
- Free turret hatch available for a limited time
b. Reservation ($1,000 Deposit):
- Requires a $1,000 deposit at time of booking.
- Provides locked-in introductory pricing.
- Provides priority build once production of your model begins.
- Remaining balance due prior to production/shipment.
- Free turret hatch, available for a limited time
Pricing on the Reservation option excludes taxes, shipping, installation, and any applicable delivery fees, which will be collected separately.
2. Delivery Timing & Published Schedule
We provide estimated delivery timing by quarter in our public launch schedule. Delivery timelines are estimates only and subject to change due to:
- Component supply constraints
- Production limitations
- Tooling and manufacturing lead times
- Logistics and freight delays
If we anticipate a material delay beyond the published quarter, we will notify you and provide options under Section 5.
3. Production Start Notification
You will be notified when your specific unit is scheduled to enter production. This milestone determines eligibility for cancellation rights under Section 5.
4. Payment Authorization
You authorize us to:
- Retain your payment or deposit until cancellation or fulfillment
- Charge your remaining balance (Reservations only) when due
If a Reservation balance is not paid when requested, we may cancel your Reservation and retain up to the administrative fee described in Section 5.
5. Cancellation, Refunds & Administrative Fee
Your rights depend on whether production has started:

Refund Timing: Refunds will be processed to the original payment method within 30 business days of cancellation confirmation.
The administrative fee covers order processing, merchant fees, production planning, and other non-recoverable business costs.
6. Product Changes & Specifications
Design and specifications may evolve prior to production. We may:
- Modify materials, options, or features
- Adjust availability of accessories or configurations
- Re-sequence production for operational reasons
If any change materially impacts value or product compatibility, you may cancel and receive a refund per Section 5.
7. Final Sale & Warranty
Units delivered under this Agreement are final sale and not eligible for return except as required by law or under our written warranty.
Warranty coverage:
- 2-year limited full warranty
- 5-year structural warranty
(Separate warranty terms apply and will be provided prior to delivery.)
Warranty excludes normal wear, misuse, alterations, improper installation, and damage caused by external events.
8. Compliance With Federal & Colorado Law
We comply with:
- The FTC Mail, Internet, or Telephone Order Rule (shipment timing & refund rights)
- The Colorado Consumer Protection Act (C.R.S. § 6-1-105)
This includes:
- No undisclosed fees
- No misrepresentation of delivery timelines
- Full refunds if delays exceed allowed timeframes and you do not agree to wait
These consumer rights cannot be waived.
9. Ownership Transfer
Title and risk of loss transfer upon:
- Delivery to the Customer, or
- Customer pickup (if applicable)
Customer is responsible for local taxes, registration, and any import/export requirements.
10. Entire Agreement; Updates
This document and your order confirmation represent the entire agreement regarding your Pre-Order or Reservation. Updates may be made for compliance purposes but will not materially change your rights unless you consent.
11. Governing Law & Dispute Resolution
This Agreement is governed by the laws of the State of Colorado.

Customer Acknowledgment
By placing a Pre-Order or Reservation, I acknowledge that I understand:
- Delivery timelines are estimates
- Cancellations after production begins may not be accepted
- A 10% administrative fee applies to certain cancellations
- Changes in schedule or configuration may occur
